Terms and Conditions

The Terms and Conditions below govern the sale of goods from Formative Tech Pte. Ltd.  (“Formative” “We”, “Us”, “Our”) on  www.ft.sg (“Website”) to you (“Customer” “You” “Your”).

1. General

1.1. The validity, legality or enforceability of any part of these Terms and Conditions will be unaffected by the invalidity, illegality or unenforceability of any individual part of these Terms and Conditions.

1.2. The Terms and Conditions shall be governed by and interpreted in accordance with Singapore Law.

1.3. All pictures displayed are a mere representation of the product and may vary from the actual product.

2. Website Use

2.1. The Customer is responsible for maintaining the confidentiality of his/her account and password and restricting access to his/her computer. The Customer agrees to accept responsibility for all activities that occur under his/her account or password. Formative reserves the right to refuse service, terminate accounts, remove or edit content, or cancel orders in its sole discretion.

2.2. The information on this website is provided on an "as is" basis. To the fullest extent permitted by law, Formative :

2.2.1.Excludes all representations and warranties relating to this website and its contents or which is or may be provided by any affiliates or any other third party, including in relation to any inaccuracies or omissions in this website and/or Formative’s literature; and

2.2.2.Excludes all liability for damages arising from or in connection with your use of this website. This includes, without limitation, direct loss, loss of business or profits (whether or not the loss of such profit was foreseeable, arose in the normal course of things or the Customer has advised Formative of the possibility of such potential loss), damage caused to the Customer's computer, computer software, systems and programs and the data thereon or any other direct or indirect, consequential and incidental damages.

2.3. Formative does not warrant that the service from this website will be uninterrupted, timely or error-free or that any defects in the website will be corrected. By using this website, you thereby indemnify Formative , its employees, agents, and affiliates against any loss or damage, in whatever manner, however, caused.

2.4. Formative does not warrant that the website or any content is free of viruses or other harmful components that manifest contamination or destructive properties. You acknowledge and agree that the internet is inherently insecure and that your data, as uploaded or transmitted in connection with the website, may be subject to interception by an unauthorized third party.

3. User Account

3.1. By signing up as a member, the Customer is responsible for maintaining the confidentiality of his/her account and password and for restricting access to his/her computer, and the Customer agrees to accept responsibility for all activities that occur under his/her account or password. Formative reserves the right to refuse service, terminate accounts, remove or edit content, or cancel orders in its sole discretion.

4. Pricing and Ordering

4.1. The price payable for the goods is as indicated on the website when the Customer places their order.

4.2. Formative reserves the right to update product prices without prior notice.

4.3. Formative reserves the right to refuse or decline to accept any order.

4.4. Once ordered, no order may be cancelled or reduced in quantity. Formative accepts orders by the despatch of products. However, that despatch does not constitute acceptance where the price of the supplies has been incorrectly quoted or referenced by the Customer in its order.

4.5. Formative reserves the right to accept or reject requests for order cancellations at its sole discretion.  Order cancellation requests are received on working days, and if the order has not been processed, we will cancel the order. Cancellation of orders is not allowed when orders have been processed or delivered. Formative, at its sole discretion, may decide whether an order has been processed.

4.6. For Credit/Debit card payments, products will be paid for at the point of order. In the event that products have to be back ordered or are not available, the Customer will be given the option to cancel the order. Upon cancellation, the money will be refunded within 14 working days depending on whether it has already been processed.

5. Payment and Credit Term

5.1. Payment may be made by credit card or bank transfer

5.2. Formative reserves the right to hold all products until all payments are made.

5.3. If legal action is taken to mitigate or resolve any payment discrepancies, the Customer shall reimburse to Formative all legal and disputed costs and expenses incurred.

6. Delivery

6.1. "A Working Day" is defined as Monday, Tuesday, Wednesday, Thursday and Friday, excluding all Public Holidays in Singapore.

6.1.1. For in-stock products, delivery can be made within 5-10 working days.

6.1.2. For non-stocked products,  lead time shall be defined upon order confirmation;  we will do our best to expedite the process.

6.2. Where stock is available, Formative will deliver the Customer's order in accordance with the delivery schedule set out.

6.3. Delivery Charges are defined at the point of order. 

6.4. While we try to adhere to scheduled delivery timings and warrant to act within our means to notify you the soonest possible of any delays or difficulties, you acknowledge that you will, at no point in time, hold Formative liable for any inconvenience, losses, damages, injury, charges, expenses and/or deaths that may arise from any delayed, postponed, incomplete or unfulfilled deliveries, to the extent permitted by Law.

6.5. If the Customer fails to receive the goods on the agreed delivery date, Formative reserves the right to store the goods until the Customer can receive or collect the goods and charge all reasonable expenses in regard to storage and other related costs shall be paid by the customer. 

6.6. If no one is at the delivery location to receive the order upon prior confirmation with Formative, Formative reserves the right to reschedule or cancel the delivery up to 2 attempts and charge a re-delivery fee of $15 thereafter.

6.7. It is the customers' responsibility to ensure that the delivery address, date and time of delivery are accurate during the confirmation with our fulfilment team. Should the delivery be unsuccessful due to the inaccuracy of the information, a re-delivery fee will be imposed.

7. Product Title

7.1 Title to the goods will only be transferred to the Customer upon receipt of the full payment including all relevant taxes and delivery costs. F reserves the right to refuse transfer of title if payment is not made in full.

8. Repair / Exchange of online purchased item

8.1. The customer should check all items upon delivery. All goods sold are non-exchangeable and non-refundable. Unless otherwise stated below. 

8.2.  A signature on the delivery order constitutes that all goods have been received in good order. Any defect in the quality, quantity and condition of the goods should be indicated upon the receipt of the delivered goods.

8.3. When products are found to be damaged from manufacturing defects, send a photo to Formative at formative.bp@ft.sg or call us at +65 6362 4023. Relevant documentation is required ( e.g  Delivery order, invoice, picture of defective item, and a description of the issue) to be submitted to Formative.  we will inspect the goods. Once the damage is confirmed, at our discretion, we provide repair or replacement of those parts of our products with material/ manufacturing defects. The proof of the fact that a defect on the products delivered by us was already present at the time of delivery is the responsibility of the ordering party. 

8.4. Not refusing the delivered goods upon inspection would mean that the Customer is satisfied with the condition of the goods delivered. The customer will be required to pay for the goods as if they were delivered.

8.5. Formative reserves the right to accept or reject requests for order cancellations, refunds or exchanges at its sole discretion.

8.6. Customers are solely responsible for the logistical arrangements of the repair/exchange of products to Formative.  

8.7. The repair/exchange will be made to the Customer within 14- 30 working days upon receiving products accepted for exchange (if applicable) by Formative.

9. Liability

9.1. All warranties, conditions, and other terms implied by statute or common law (save for the conditions implied by Section 12 of the Sale of Goods Act) are, to the fullest extent permitted by law, excluded from all orders by the Customer.

9.2. Notwithstanding any other provisions, Formative's total liability in contract, tort (including negligence or breach of statutory duty), misrepresentation, restitution or otherwise, arising in connection with the performance or contemplated performance of the contract shall be limited to the contract price; and Formative shall not be liable to the Customer for any pure economic loss, loss of profit, loss of business, depletion of goodwill or otherwise, in each case whether direct, indirect or consequential or any claims for consequential compensation whatsoever (howsoever caused) which arise out of or in connection with the contract.

10. Force Majeure

10.1. Formative shall have no liability to the Customer for any failure or delay in supply or delivery or for any damage or defect to the goods supplied or delivered caused by any event or circumstance beyond Formative's reasonable control.

11. Warranty

11.1. Formative will endeavour to transfer to the Customer the benefit of any warranty given by the manufacturer of the products. Drop an email to formative.bp@ft.sg

11.2. In addition, Formative will see to any repair or replacement proved to be of reasonable satisfaction of Formative to be defective. This obligation will not apply:

I. If the defect arises because the Customer has altered, repaired or used  non-original spare parts on the products without the written consent of Formative;

II. Because the Customer did not follow the manufacturers' instructions for storage, usage, installation use or maintenance of the product

11.3. Any replacement product(s) or replacement made will be guaranteed on these terms for any unexpired period of guarantee given on the original products. The replaced product(s) will belong to Formative.

11.4. The Customer grants Formative a right to enter into its premise to affect any repair or replacement. The Customer shall ensure that Formative's employees and representatives are provided with a safe and secure working environment while at its premises.

12. Refund Policy

13.1. Customers can email our customer service officers at  formative.bp@ft.sg within 14 working days of delivery for any request for a refund if permissible. 

13.2. Refund is not applicable if the Customer holds a credit term account with Formative which our Customer service officer will advise accordingly.

13.3. Formative reserves the right to accept or reject requests for order cancellations, refunds or exchanges at its sole discretion.

13. Governing Law and Jurisdiction

13.1. The law governing the use of a website and all transactions is the Law of Singapore. Any aspects not covered by these Terms and Conditions are subject to Singapore Law.

14. Salvatory Clause

14.1. If any of these Terms and Conditions are rendered invalid or void, the other Terms and Conditions will remain in fact.

15. Exclusion

15.1.  Terms & Conditions 1-14 do not apply to Sales transactions not completed via the Formative online shop.
